Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VOIDCRAFT STUDIOS LLC ("Company," "we," "us," or "our") concerning your access to and use of FrameOnce (frameonce.io) and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

FrameOnce is a product photo consistency service for e-commerce sellers. It currently consists of:

• Free tools: Shop Critique, which analyzes the consistency of a store's publicly available product photography, and a free one-image demo of the standardization workflow
• The catalog workflow: uploading or importing product images for standardization to marketplace image rules, marketplace compliance checks, batch processing, editing tools, and downloading processed images for commercial use
• Store integrations: connecting a Shopify store to import your product catalog and publish standardized images back to it (Section 6.3)
• The verification registry (not yet launched; these terms apply from the day it goes live): a record of every photo FrameOnce processes, described in Section 2.3

2.1 Geographic Availability

FrameOnce is currently available to users with billing addresses in:

Americas:

• United States
• Canada

Europe:

• All European Union member states (27 countries)
• United Kingdom
• Switzerland
• Norway
• Iceland

We may expand service availability to additional regions in the future. We reserve the right to verify user location and restrict access based on billing address, IP address, or payment method origin.

These geographic restrictions apply to paid accounts and subscriptions. The free analysis tools are available without an account; we may still restrict their availability or apply usage limits in any region at our discretion.

2.2 Free Tools

Shop Critique and the one-image demo are provided free of charge, without an account, and are subject to human-verification checks, rate limits, and usage caps. By using them you acknowledge and agree that:

• Analysis results are produced by automated analysis, including AI models. They are probabilistic estimates and opinions, not determinations of fact, and can be wrong.
• Results are provided for your information only. You may not present a result as a finding of fact, or use it as the sole basis for accusing, publicly calling out, disputing, penalizing, or otherwise taking action against any person or business.
• You may only submit images and shop URLs that you own or have a legitimate interest in analyzing. Shop Critique reads only publicly available catalog data from the URL you submit.
• The free tools are provided without any warranty, may be modified, limited, or discontinued at any time, and carry no service-level commitment.

2.3 Verification Records

When the paid workflow processes a photo, FrameOnce registers a verification record: the input we received, the standard adjustments we applied, and when. Verification records are subject to the following:

• What a record asserts. A record documents FrameOnce's own processing of an image. It is not a certificate of events before the image reached us, and it is not a guarantee that the underlying input was a photograph. FrameOnce does not generate imagery, and a record attests to that for the processing we performed.
• Privacy by default. Records are private to the account holder. The public verification page shows only a minimal summary unless the account holder explicitly chooses to publish a record's processing detail.
• Best-effort recognition. Automated recognition of registered images (for example in AI Image Check) relies on signals that can be weakened or defeated by cropping, re-encoding, or other modifications. Recognition is not guaranteed.
• Refusal and revocation. We may refuse to register an image, and may suspend or revoke an existing record, if we determine or reasonably suspect that the input was AI-generated or otherwise synthetic, that it was misrepresented, or that it was submitted in violation of these Terms. Submitting AI-generated or substantially synthetic imagery for processing or registration is a material breach of these Terms.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 16 years old to create an account. By creating an account, you represent that you meet this age requirement.

4. Subscription Plans and Pricing

The plans below describe the current offering. Plan inclusions and pricing may be adjusted; the pricing page and your billing screen always show the current terms.

4.2 Credit System

• Standardization (clean background, framing, compliant export) is included in your plan's monthly image allowance and does not consume credits.
• Credits meter generative AI work only, such as AI-generated backgrounds and scenes: 1 credit = 1 generated result.
• Credits do not roll over. Unused credits expire at the end of each billing cycle.

4.3 Billing

• Subscriptions are billed monthly in advance.
• All prices are in USD and exclude applicable taxes.
• Plans purchased on our site are processed by Stripe, which may act as the merchant of record for your purchase; you authorize the charge to your payment method on file.
• Plans purchased through the Shopify App Store are billed by Shopify under Shopify's terms: the charge appears on your Shopify invoice, and plan changes and cancellation are handled through the Shopify admin.
• We reserve the right to modify pricing at any time. New pricing takes effect immediately for new subscriptions.

4.4 Promotional Offers

We may occasionally offer promotional pricing or bonus credits (e.g., double credits for early users). Promotional terms will be clearly communicated at signup and are subject to specific terms and conditions.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time: from your account dashboard for plans purchased on our site, or from the Shopify admin (by changing plans or uninstalling the app) for plans billed through Shopify.

• Cancellation takes effect at the end of the current billing period.
• You retain access to paid features until the period ends.
• No partial refunds for unused portions of a billing period.
• Your account reverts to Free tier after cancellation.

5.2 Refund Policy

Refunds are not available after the 14-day period, or for:

• Accounts terminated for Terms violations
• Credits already consumed
• Partial months of service

This refund policy operates alongside, and does not limit, any statutory withdrawal or refund rights you have as a consumer under the laws of your country of residence.

6. User Content and Licenses

6.1 Your Content

You retain full ownership of all images you upload to FrameOnce. By uploading content, you grant us a limited license to:

• Process your images according to your instructions
• Store your images temporarily (7 days) for support purposes
• Create and store Style Presets based on your reference images

Providing the Service involves transmitting images to a small number of service providers acting on our behalf, for example AI model providers that perform image analysis and GPU infrastructure that performs image segmentation. They process images solely to deliver your results. The current list is in our Privacy Policy.

We do not:

• Use your images to train AI/ML models
• Sell your images, or share them with third parties beyond the service providers needed to operate the Service
• Use your images for marketing without explicit permission

6.2 Content Requirements

You represent and warrant that you have the right to upload all images and that they do not:

• Infringe on any third party's intellectual property rights
• Contain illegal, harmful, or offensive content
• Violate any applicable laws or regulations

Images submitted to the paid workflow must be photographs of real products you offer. Submitting AI-generated or substantially synthetic imagery for processing or registration is prohibited (see Section 2.3).

6.3 Connected Stores

When you connect a Shopify store (from your account, or by installing the FrameOnce app from the Shopify App Store), you authorize us to access your store's product catalog through Shopify's APIs on your behalf: reading product titles and images to standardize them, and publishing standardized images back to your products only when you request it. Publishing adds images; we never delete your original product media. You represent that you are authorized to grant this access for the store you connect. You can revoke access at any time by disconnecting the store or uninstalling the app, which invalidates our access immediately. Your use of Shopify remains governed by Shopify's own terms.

7. Prohibited Uses

You agree not to use the Service to:

• Upload images you don't have rights to use
• Upload AI-generated or substantially synthetic imagery for processing or to obtain a verification record
• Present free-tool analysis results as findings of fact, or use them to accuse, harass, defame, or take action against any person or business
• Submit images or shop URLs you have no legitimate interest in analyzing
• Process illegal, obscene, or harmful content
• Circumvent usage limits or credit systems
• Attempt to reverse engineer our processing algorithms
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service without permission
• Interfere with or disrupt the Service or servers
• Violate any applicable laws or regulations

We reserve the right to terminate accounts that violate these terms without refund.

7.1 Account Suspension and Termination

We reserve the right to:

• Suspend or terminate your account immediately for any violation of these Terms
• Suspend or terminate your account for any reason, with or without cause, with or without notice
• Remove or delete any content you upload at our sole discretion
• Refuse to process refunds for terminated accounts

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data and uploaded images
• Outstanding subscription fees remain due
• Sections 6, 8, 9, 10, 11, and 13 survive termination

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by VOIDCRAFT STUDIOS LLC and is protected by copyright, trademark, and other intellectual property laws.

"FrameOnce" and associated logos are trademarks of VOIDCRAFT STUDIOS LLC. You may not use these marks without our prior written permission.

FrameOnce is operated by VOIDCRAFT STUDIOS LLC.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

We do not warrant that the Service will meet your specific requirements or produce specific results. Image processing results may vary based on input quality and settings.

In particular, we make no warranty as to the accuracy, completeness, or reliability of automated analysis results (including Shop Critique reports and marketplace compliance checks) or of automated recognition of registered images. These outputs are estimates provided for information only, and we are not liable for decisions or actions taken in reliance on them; marketplaces apply their own rules and their decisions are their own.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOIDCRAFT STUDIOS LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services
• Any damages exceeding the amount paid by you in the 12 months preceding the claim

This limitation applies regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless VOIDCRAFT STUDIOS LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party rights
• Content you upload to the Service

12. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice
• Change features, functionality, or availability of the Service
• Impose new or additional fees at any time
• Refuse service to anyone at any time, with or without notice

We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We may also modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New Mexico, and the decision shall be final and binding.

If you are a consumer, nothing in these Terms deprives you of the mandatory consumer protections of the laws of your country of residence. If you are a consumer in the European Union, the United Kingdom, Switzerland, Norway, or Iceland, you may also bring proceedings in the courts of your country of residence, and the arbitration clause above applies only to the extent permitted by the law of that country.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VOIDCRAFT STUDIOS LLC regarding the Service and supersede all prior agreements and understandings.
